There is an implicit commitment, explicit in the documentation, in which the managers commit themselves to improve their sustainability policies. Verify the information<\/a><\/li><\/ul><\/li><\/ul><\/nav><\/div>\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_scope_of_these_bonds\"><\/span>The scope of these bonds<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>Sustainability-linked <a href=\"https:\/\/www.climatebonds.net\/resources\/reports\/sustainable-debt-summary-q3-2021\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">bonds<\/a><\/strong><a href=\"https:\/\/www.climatebonds.net\/resources\/reports\/sustainable-debt-summary-q3-2021\" target=\"_blank\" rel=\"noreferrer noopener\"> <\/a>reached $78.7 billion by 2021 and are products related to corporate <strong>finance<\/strong>, but with a specific purpose in mind.<\/p>\n\n\n\n<p>To shed light on this, there are <strong>guidelines with recommendations<\/strong> on the principles of these bonds and how they can be structured, disclosed and reported. These documents are designed to make the whole process transparent. In this way, it is hoped that more investors will be attracted to these products. However, SLBs are very versatile and can be applied to any type of financial tool and to any issuer.<\/p>\n\n\n\n<p>Moreover, bond targets can be monitored by means of two instruments:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Evaluation according to pre-defined SPTs (Sustainability performance targets)<\/li>\n\n\n\n<li>Measurement through predefined and defined KPIs.<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Companies_that_have_issued_sustainability-linked_bonds\"><\/span>Companies that have issued sustainability-linked bonds<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Sonae\"><\/span>Sonae<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><a href=\"https:\/\/www.sonae.pt\/en\/media\/press-releases\/sonae-already-has-over-15-of-gross-debt-associated-to-sustainability-goals\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Sonae <\/a>is a Portuguese retail company. At the end of 2020 it completed a <strong>bond issue linked to sustainability<\/strong>, social and governance indicators for \u20ac20 million. The final success of the operation depends on meeting targets related to the reduction of CO2 emissions and the promotion of women&#8217;s leadership.<\/p>\n\n\n\n<p>The management was conducted by <strong>BBVA <\/strong>bank, through private investors and with a final maturity of five years.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Globo\"><\/span>Globo<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><a href=\"https:\/\/globoir.globo.com\/Download.aspx?Arquivo=z0qoC9yMk4TIE8CanQyP2Q==\" target=\"_blank\" rel=\"noreferrer noopener nofollow\"><strong>Globo<\/strong> <\/a>is a Brazilian media company that controls a free-to-air television platform as well as private channels. The company expressed its desire to issue sustainability-linked bonds and loans to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Achieve an SPT for a KPI, namely the reduction of absolute scope 1, 2 and 3 greenhouse gas emissions by at least 15% by 2026. It also wants to increase this amount by 30% by 2030.<\/li>\n<\/ul>\n\n\n\n<p>The Brazilian company contracted <a href=\"https:\/\/www.sustainalytics.com\/esg-research\/resource\/corporate-esg-blog\/moving-the-needle-how-loans-and-bonds-are-being-tied-to-corporate-sustainability-performance\" target=\"_blank\" rel=\"noreferrer noopener nofollow\"><strong>Sustainalytics<\/strong> <\/a>to analyse both the framework and the targets.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"International_bond_principles\"><\/span>International bond principles<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The <strong><a href=\"https:\/\/www.icmagroup.org\/sustainable-finance\/the-principles-guidelines-and-handbooks\/sustainability-linked-bond-principles-slbp\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">international principles<\/a><\/strong> governing these bonds, which were mentioned at the beginning of this article, establish a very transparent process for issuers and the commitment they make. They can be summarised in five:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"1_Selecting_KPIs\"><\/span><strong>1. Selecting KPIs<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>One of the main <strong>aspects <\/strong>to make bonds credible is to choose the KPIs well, above all that they are credible. <strong>How do we make them credible? <\/strong>Firstly, KPIs should be related to environmental or governance challenges in the sector where the issuer operates. Secondly, they should be controlled by management. Finally, they need to be internally and externally verifiable.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"2_Calibrating_SPTs\"><\/span><strong>2. Calibrating SPTs<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The calibration of the SPTs (sustainability performance targets) for each KPI gives soundness to the SLB. They <strong>define and measure <\/strong>what the ambitions of the issuer are, which gives the product more or less credibility. They provide key information that can affect the achievement of these objectives and must be dictated in good faith.<\/p>\n\n\n\n<p>Among its<strong> key features<\/strong> is that each SPT should be compared with several benchmarks. They should also be consistent with other similar objectives of issuers and set a time limit for addressing them.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"3_Description_of_the_bond\"><\/span><strong>3. Description of the bond<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>This principle refers to the <strong>structural and financial characteristics of the bond<\/strong>, which are in turn defined by the KPIs and SPTs. These variations, whether due to the achievement of targets or to external elements, will lead to changes in the bond itself. This should also be made very clear in the pre-investor documentation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"4_Reporting\"><\/span><strong>4. Reporting<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>At least once a year, bond issuers have to <strong>publish and submit status reports<\/strong>. Among the information to be provided are the performance of SPTs, their impact on bond characteristics, etc.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"5_Verify_the_information\"><\/span><strong>5. Verify the information<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The level of performance of the SPTs should be <strong>verified <\/strong>by a qualified external entity, such as an environmental consultant or auditor. The periodicity varies, either on an annual basis or when a feature of the voucher needs to be adjusted.<\/p>\n\n\n\n<p>In short,<strong> bonds linked to sustainability and data management<\/strong> are financial products oriented to the fulfilment of certain objectives. In addition to being described with full transparency, issuers have to follow the international principles governing these products.
