href=\"https:\/\/aplanet.org\/es\/recursos\/pacto-verde-europeo-objetivos-e-iniciativas-para-un-futuro-sostenible\/\">European Green Deal<\/a> and represents a significant step forward compared to the current limited sustainability reporting requirements.<br><br>This new EU law regulates sustainability reporting requirements and, although it is specific to the EU, it is expected to have wide implications worldwide, with direct and indirect repercussions for many organisations.&nbsp;<\/p>\n\n\n\n<p>In this article we share the main issues set out in the <strong>Corporate Sustainability href=\"https:\/\/eur-lex.europa.eu\/legal-content\/ES\/TXT\/?uri=uriserv%3AOJ.L_.2022.322.01.0015.01.SPA&amp;toc=OJ%3AL%3A2022%3A322%3ATOC\">Corporate Sustainability Reporting Directive (CSRD)<\/a> is a new EU law that aims to establish more stringent requirements for sustainability reporting by companies.&nbsp;<\/p>\n\n\n\n<p>This directive amends the NFRD directive on disclosure of non-financial information and aims to increase the transparency and comparability of information on the environmental, social and governance (ESG) performance of companies.<br><br>This is intended to help investors and other stakeholders make more informed and sustainable decisions.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Is_it_already_in_force\"><\/span>Is it already in force?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><br>The CSRD entered into force on 5 January 2023 and the first disclosures are expected to be published in 2024, following these phases:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>1 January 2024 for companies with over 500 employees<\/strong> already subject to the non-financial reporting directive (NFRD), which will be required to submit their reports in 2025.<\/li>\n\n\n\n<li><strong>1 January 2025 for large companies not currently subject to the NFRD<\/strong> with over 250 employees and\/or \u20ac40 million turnover and\/or \u20ac20 million total assets, which will be required to report in 2026.<\/li>\n\n\n\n<li><strong>1 January 2026<\/strong> for small and non-complex credit institutions, captive insurer companies and listed <strong>SMEs<\/strong>. The directive affects more than 49,000 European companies, which are as follows:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All <strong>companies listed on EU regulated markets<\/strong> (except micro companies).&nbsp;<\/li>\n\n\n\n<li><strong>Large European companies or subsidiaries <\/strong>of non-EU companies operating in the EU. To be considered a large company, the regulation establishes that it must meet at least two of the following requirements: having a turnover of more than 40 million euros, a balance sheet total of 20 million euros or employing over 250 people during the financial year.&nbsp;<\/li>\n\n\n\n<li><strong>It will also apply to insurance companies and credit institutions<\/strong>, regardless of their legal form.<\/li>\n<\/ul>\n\n\n\n<p>Not all companies will be subject to compliance. Subsidiaries could be exempt if the parent company includes them in its report.&nbsp;<\/p>\n\n\n\n<p>In addition, listed micro-enterprises and unlisted SMEs do not fall within the scope of the Directive, but may choose to comply with its provisions on a voluntary basis.<br><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Why_is_the_CSRD_important_for_companies\"><\/span>Why is the CSRD important for companies?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>This directive is of great importance for companies, as it sets more stringent requirements for sustainability reporting.&nbsp;<\/p>\n\n\n\n<p>This provides <strong>greater transparency and comparability <\/strong>of information on environmental, social and governance (ESG) performance, enabling investors and other stakeholders to make more informed and sustainable decisions.<\/p>\n\n\n\n<p>In addition, CSRD brings an <strong>opportunity for companies to improve their ESG performance<\/strong>, stakeholder engagement and create long-term value. It is not only a legal obligation, but also an opportunity for companies to lead the transition to a more sustainable, environmentally and socially responsible economy.<\/p>\n\n\n\n<p><strong>Some of the benefits for companies <\/strong>of implementing the directive include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Access to new investment opportunities by attracting investors interested in sustainability.<\/li>\n\n\n\n<li>Better identification of activities and projects that contribute to the transition towards sustainability.<\/li>\n\n\n\n<li>Cost reduction and efficiency gains.<\/li>\n\n\n\n<li>Improved reputation and brand image of the company by demonstrating its commitment to sustainability and social responsibility.<\/li>\n\n\n\n<li>It helps to identify and manage ESG risks, which can reduce the costs associated with these risks.<\/li>\n<\/ul>\n\n\n\n<p>These are some of the opportunities that companies can take advantage of to put themselves at a competitive advantage.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Disclosure_requirements_of_the_CSRD_Directive_What_information_must_companies_provide\"><\/span>Disclosure requirements of the CSRD Directive: What information must companies provide?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><br>The CSRD Directive not only establishes mandatory requirements for companies, but also brings with it a number of <strong>new developments that promote greater transparency and consistency<\/strong> in sustainability disclosures. Some of these developments include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Common reporting standards<\/strong> to ensure consistency of reporting content in the European Union, which are developed by the European Financial Reporting Advisory Group (EFRAG).<\/li>\n\n\n\n<li><strong>Digital taxonomy<\/strong> of sustainability reporting standards so that information can be labelled consistently.<\/li>\n\n\n\n<li><strong>Third-party verification of information<\/strong> to increase the reliability and credibility of sustainability reporting.<\/li>\n<\/ul>\n\n\n\n<p><br>In terms of content, companies should provide information related to sustainability, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Description of the organisation&#8217;s business model and strategy.<\/li>\n\n\n\n<li>Sustainability-related objectives set by the company with a time horizon.<\/li>\n\n\n\n<li>Role of the administrative, management and supervisory bodies related to sustainability.<\/li>\n\n\n\n<li>Sustainability policies of the company.<\/li>\n\n\n\n<li>Incentive schemes offered to members of the administrative, management and supervisory bodies that are linked to sustainability issues.<\/li>\n\n\n\n<li>Sustainability due diligence procedures.<\/li>\n\n\n\n<li>List of the main sustainability-related risks.<\/li>\n<\/ul>\n\n\n\n<p>Reports must be <strong>certified<\/strong> by an <strong>accredited independent auditor or certifier<\/strong> in order to comply with CSRD requirements. These regulations focus on detailed reports on themes relating to ESG (environmental, social and governance) topics, looking to improve transparency and facilitate comparison between companies.\u00a0<\/p>\n\n\n\n<p>&nbsp;This set of forces shows a significant step towards greater corporate responsibility and better sustainable decision making.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"FAQs_on_the_Corporate_Sustainability_Reporting_Directive\"><\/span>FAQs on the Corporate Sustainability Reporting Directive<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_data_points_and_disclosures_are_necessary_to_register_under_CSRD\"><\/span>What <em>data points<\/em> and disclosures are necessary to register under CSRD?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>CSRD has 82 disclosures and 1,144 data points from which companies can select for their reports. It\u2019s not necessary to comply with all points; whilst there are certain required disclosures, companies only need to track additional data points and disclosures that are relevant according to their materiality\/double materiality analysis.&nbsp;<\/p>\n\n\n\n<p>Due to the complexity of these issues and the requirements of the Directive, <a href=\"https:\/\/aplanet.org\/resources\/csrd-excel\/\">Excel and other spreadsheets will not be valid tools for reporting<\/a>.<\/p>\n\n\n\n<p>This focus allows companies to focus on areas which are pertinent to their specific scenario and to their stakeholders.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_are_delegated_acts_in_CSRD\"><\/span>What are delegated acts in CSRD?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Delegated acts in the CSRD context are technical disclosures and additional regulations established by the European Commission. These acts specify and elaborate on certain aspects of the CSRD directive to ensure a consistent and effective application of its requirements amongst all affected companies.<\/p>\n\n\n\n<p>In essence, delegated acts provide a detailed guide on how companies should implement and comply with the CSRD requirements.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_double_materiality_in_CSRD\"><\/span>What is double materiality in CSRD?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Double materiality in CSRD refers to the consideration of both the impact of a company on sustainability as well as the impact of sustainability factors on the company.
